Terms of Service

Welcome to Tallie (referred to as "Tallie," "we," "us," or "our"). These Terms of Service govern your access to and use of our website, calculation engine, API, and related dashboard services (collectively, the "Service"). By creating an account, uploading payroll files, or using the Service, you and the organization you represent ("User," "you," or "your") agree to be legally bound by these Terms.
1. Nature of the Service
Tallie is a software-as-a-service calculation tool designed to assist HR departments in organizing payroll records, calculating hours worked, mapping SOC codes, and formatting reports for submission under California SB 464 and related Civil Rights Department (CRD) rules.
2. User Data and Privacy Warranties
To utilize our Service, you will upload payroll history files, employee demographics, pay rates, and job classification details. You represent and warrant that:
- You have all necessary legal rights, permissions, and consents under the California Consumer Privacy Act (CCPA), the California Privacy Rights Act (CPRA), and any other applicable privacy laws to upload, store, and process this employee data on our Service.
- No data uploaded violates any third-party privacy rights or proprietary secrets.
- You are solely responsible for ensuring no sensitive personally identifiable information (PII) beyond the requested fields is uploaded.
3. Accounts and Billing
We offer self-serve Starter, Pro, and custom Business subscriptions. All subscriptions auto-renew at the end of their billing period (monthly or annual) unless cancelled. Billing is processed securely through our payment provider, Stripe. You may cancel your trial or active subscription at any time within your billing portal to prevent future charges.
4. NO WARRANTY ("AS-IS" & "AS-AVAILABLE")
TALLIE PROVIDES THE SERVICE "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, TALLIE DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
- WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
- ANY WARRANTY THAT THE SOFTWARE WILL BE COMPLETELY ERROR-FREE, SECURE, OR 100% ACCURATE IN COMPLYING WITH STATE LABOR STATUTES.
- ANY WARRANTY THAT CALIFORNIA'S CIVIL RIGHTS DEPARTMENT (CRD) WILL ACCEPT OR APPROVE THE GIVEN CSV FORMATS WITHOUT REJECTION.
5. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL TALLIE, ITS FOUNDERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, DATA LOSS, REVENUE LOSS, OR COMPLIANCE FINES IMPOSED BY THE STATE OF CALIFORNIA) ARISING OUT OF OR IN CONNECTION WITH THE USE OF OR INABILITY TO USE THE SERVICE.
Our total cumulative liability for any claims arising out of these Terms or the Service shall not exceed the total amount of subscription fees actually paid by you to Tallie in the twelve (12) months preceding the event giving rise to liability.
6. Indemnification
You agree to defend, indemnify, and hold harmless Tallie, its officers, directors, and employees, from and against any third-party claims, liabilities, losses, damages, state-agency audits, regulatory penalties, or legal fees arising out of:
- Your breach of these Terms or representation regarding data consents.
- Inaccuracies or gaps in the payroll inputs uploaded by your organization.
- Any penalties, fines, or audits resulting from your submission of the output reports to the California Civil Rights Department.
7. Governing Law
These Terms of Service shall be governed by, and construed in accordance with, the laws of the State of California, without regard to its conflict of law principles. Any legal suit, action, or proceeding arising out of or related to these Terms shall be instituted exclusively in the state or federal courts located in California.
8. Changes to Terms
We reserve the right to modify these Terms of Service at any time. We will notify you of major revisions by posting updates on this page with an adjusted "Last Updated" date. Your continued use of the Service following revisions constitutes your acceptance of the updated Terms.
